01 Acceptance of Terms
Welcome to Potts, an AI-powered autonomous co-worker service provided by Clode LTD (“Clode”, “we”, “us”, or “our”), a company incorporated in England & Wales under company number 16453499 with its registered office at 128 City Road, London, United Kingdom, EC1V 2NX.
These Terms of Service (“Terms”) govern your access to and use of the Potts service, including any content, functionality, integrations, and APIs offered through our platform and Slack integration (the “Service”). By installing the Potts Slack app, creating an account, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
You represent that you are at least 18 years old (or the age of majority in your jurisdiction, if higher) and legally capable of entering into a binding agreement. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity.
02 Description of the Service
Potts is an autonomous AI co-worker designed to help startups and businesses improve their operations. Potts integrates with your Slack workspace and connects to your business tools to assist with day-to-day tasks, research, reporting, and workflow automation. Key aspects of the Service include:
- Slack integration. The Service integrates with Slack via Slack’s OAuth 2.0 and APIs. By connecting Potts to your Slack workspace, you authorise us to access and process messages, channels, and conversations where the bot is mentioned or invited, as described in our Privacy Policy and these Terms.
- AI-powered assistance. The Service uses advanced AI (including third-party AI services from providers such as Anthropic and Google) to analyse conversations, conduct research, generate reports, create recommendations, and perform autonomous tasks on your behalf. Potts can draft documents, analyse data, prepare reports, and execute approved actions through connected business tools.
- Third-party integrations. Potts can connect to various third-party business platforms to extend its capabilities. Each integration requires your explicit authorisation via OAuth or API key and is governed by the respective platform’s terms of service. Integrations are workspace-shared by design: authorised members of a workspace may use those integrations and related tools through Potts, and actions may execute using the connected account’s permissions.
- Autonomous operations. Potts operates autonomously, running scheduled tasks, monitoring Slack channels, and proactively generating reports and suggestions. Depending on your workspace configuration, some actions may execute without per-action human review; others require explicit approval from authorised users.
We may add, modify, or remove features at any time. Where a change materially reduces functionality of a paid plan you have already purchased, we will provide reasonable notice and, where required, a pro-rata refund of unused prepaid fees.
03 Account Registration and Security
To use Potts, you will need to install our Slack app in your workspace and optionally connect additional business tools. When registering and using the Service, you agree to the following:
- Workspace administrator authorisation. You represent that you have authority to install Slack applications in your workspace and to grant Potts the permissions it requests.
- Account security. You are responsible for maintaining the security of your Slack workspace and any connected third-party accounts. If you use OAuth or API keys to connect services, ensure those credentials remain secure.
- Shared integration responsibility. If you connect an integration in Potts, you represent that you are authorised by your organisation and, if applicable, the relevant third-party account owner to do so. Because integrations are workspace-shared, you are responsible for granted scopes, account-level permissions, and the resulting data and actions available to your workspace through Potts.
- Responsibility for use. You are responsible for all activities that occur through Potts in your workspace, including actions taken by the AI on your behalf after receiving approval. Notify us immediately at support@meetpotts.com of any unauthorised activity.
- Authorised users. You agree to ensure that only authorised team members interact with Potts for business purposes, and you are responsible for your team’s compliance with these Terms.
04 User Permissions and Data Access
By connecting Potts to your Slack workspace and business tools, you grant Clode the rights and permissions necessary to access and process data on your behalf:
- Slack OAuth consent. The Service uses OAuth authentication to request access to your Slack workspace. During installation, you will see Slack’s consent screen detailing the permissions we request (reading messages in channels where the bot is invited, posting messages, uploading files, reading user information, and similar scopes). By granting consent, you authorise us to use those permissions to provide the Service. You may uninstall Potts from your workspace at any time via Slack’s App Management settings.
- Third-party platform access. When you connect business tools and platforms, you authorise us to access your account data as permitted by each platform’s authentication mechanism. The specific data accessed depends on the integration and permissions you grant.
- Scope of data access. Potts will read and respond to messages in Slack channels where it is invited, process direct messages sent to the bot, access connected platform data to perform requested tasks and generate insights, and execute approved actions on connected platforms. Because integrations are workspace-shared, authorised members may invoke those integrations through Potts.
- Use of data. Data obtained from your Slack workspace or connected platforms is used strictly in accordance with our Privacy Policy. We do not use your data for any purpose other than to provide and support Service functionality (including security, reliability, billing, and service communications). We do not sell your data for monetary consideration.
05 Approval Mechanisms and Autonomous Actions
Potts operates with varying levels of autonomy. You acknowledge and agree to the following:
- Low-risk actions. Potts may autonomously perform read-only operations, conduct research, generate reports, draft documents, and communicate via Slack without explicit approval, and may execute other actions you have configured as pre-authorised.
- High-risk actions. Actions that modify external systems or have significant business impact may require explicit approval through Slack’s interactive approval buttons before execution.
- Pre-authorised actions and policies. If you enable auto-approve settings, recurring workflows, shared integration permissions, or similar configuration controls, you authorise Potts to execute covered actions without per-action human approval.
- Approval authority. You are responsible for ensuring only authorised personnel can view and approve action requests, including by maintaining appropriate Slack channel and thread access controls. Approval via Potts’s Slack approval flow by a user with access to the request constitutes authorisation to proceed.
- Execution responsibility. Once you approve an action, or once an action is allowed by your pre-authorisation settings, Potts will attempt to execute it. You are ultimately responsible for the consequences of approved or pre-authorised actions.
- Control and revocation. You are responsible for promptly updating or revoking approvals, integration connections, permissions, and workflow settings if personnel, roles, or business requirements change.
06 Acceptable Use Policy
By using Potts, you agree to the following acceptable use conditions. You will not:
- use the Service for any unlawful, illegal, or fraudulent activities;
- use the Service to infringe or misappropriate the intellectual property, privacy, publicity, or other legal rights of any person or entity;
- use the Service in violation of applicable export control, sanctions, or trade laws, or by or for any person or entity restricted under such laws;
- use the Service in ways that violate the terms of Slack or any other connected platform;
- attempt to gain unauthorised access to any system, account, or data related to the Service or connected platforms;
- use the Service to create content that is false, misleading, defamatory, obscene, offensive, or that promotes hate, violence, or illegal activities;
- use the Service to create or distribute phishing content, malware, harmful code, or deceptive impersonations;
- interfere with, disrupt, or degrade the Service, including by introducing harmful code, abusing automation, scraping outside intended use, or imposing unreasonable load;
- use the Service to send unsolicited messages or spam, or to abuse any connected systems;
- attempt to bypass or circumvent any usage limits, approval mechanisms, or security features;
- use the Service for weapons development, unlawful surveillance, or in high-risk contexts where failure could reasonably cause death, personal injury, or severe physical, environmental, or property damage;
- use the Service to develop a competing AI product, or to reverse engineer, decompile, or extract the underlying models or weights of the Service except to the extent such restriction is prohibited by law.
Violation may result in immediate suspension or termination of your access and could expose you to legal liability. We may investigate suspected violations, suspend or terminate access, and cooperate with law enforcement or regulators where appropriate.
07 Data Handling and Privacy
Your privacy is important to us. By using the Service, you acknowledge and agree that Clode will collect, use, and process your data as outlined in our Privacy Policy (incorporated here by reference). Key points include:
- Slack data. When you connect Potts to your Slack workspace, we access messages, conversation history, and workspace context to enable AI processing and provide the Service.
- Connected platform data. Data from connected platforms is accessed to perform requested tasks and may be cached to provide Service functionality.
- AI processing. Content from your Slack conversations and connected platforms will be processed by automated AI systems, including third-party AI providers (currently Anthropic and Google). These providers are contractually prohibited from using your data to train their general models.
- Workspace files. Potts creates and maintains internal workspace files (logs, reports, context documents) to support its operations. These are stored in our secure infrastructure.
- Data removal. You can request deletion of your data at any time by contacting support@meetpotts.com. Uninstalling the Slack app, revoking access, or disconnecting integrations stops new data collection but does not by itself delete previously stored data. Following a validated deletion request or account closure, we delete previously stored data in accordance with our Privacy Policy and retention timelines.
08 Intellectual Property Rights
All content, software, algorithms, and materials comprising the Service are the property of Clode or our licensors and are protected by intellectual property laws.
8.1 Licence to you
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable licence to use the Service for your internal business purposes.
8.2 Restrictions
You will not copy, modify, distribute, or create derivative works based on the Service’s code or content. You will not reverse engineer or decompile any technology associated with the Service except where such restriction is prohibited by law.
8.3 Your content
You retain ownership of your business data, Slack messages, and any other data you provide. By using the Service, you grant Clode a worldwide, non-exclusive licence to host, process, transmit, and display that content as necessary to provide the Service.
8.4 AI-generated content
Reports, documents, and other content generated by Potts are provided as work product for your use. You may use AI-generated content for your business purposes, subject to these Terms.
8.5 Feedback
If you provide feedback or suggestions about the Service, you grant Clode a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without obligation to you.
09 AI Content and Disclaimers
The Service involves the use of AI to generate content, reports, and recommendations. It is important to understand:
- AI output may be imperfect. AI is not infallible. Output may be incorrect, misleading, incomplete, or inappropriate. The AI may misunderstand context or make erroneous recommendations. You are responsible for reviewing and verifying AI-generated content before acting on it or relying on it for business decisions.
- No professional advice. Any suggestions, reports, or recommendations generated by the Service are not legal, financial, tax, medical, or other professional advice. Use your professional judgment and consult qualified professionals where appropriate.
- User responsibility. You are ultimately responsible for all business decisions and actions taken based on Potts’s output.
- No guaranteed human review. Autonomous tasks and configured pre-authorised workflows may execute without real-time human review.
- Platform compliance. You are responsible for ensuring that any actions executed through Potts comply with the policies of connected platforms and applicable laws.
10 Third-Party Services & Integrations
Potts integrates with third-party platforms such as Slack, Google, Microsoft, Notion, Shopify, HubSpot, and others. Your use of those platforms is governed by their own terms and privacy notices. We are not responsible for third-party services and do not control them; they may change, become unavailable, or revoke access at any time. Changes to those platforms may affect Service functionality.
11 Pricing and Subscriptions
11.1 Current pricing
The Service offers both free trial and paid subscription plans. You may try Potts without payment during any applicable trial period.
11.2 Future changes
We reserve the right to modify pricing, introduce new subscription plans, premium features, or usage-based pricing. If we make changes that affect your current plan, we will provide at least 30 days’ advance notice via Slack message to your workspace administrators and/or email.
11.3 Payment & billing
Unless otherwise specified in the applicable Order or on the pricing page in force at the time of purchase, fees are quoted and charged in US dollars (USD). All fees are exclusive of VAT, sales tax, and any other applicable taxes, duties, or withholdings, which you are responsible for paying. Where UK VAT applies, it will be added at the prevailing rate. Subscriptions are billed in advance according to the billing cycle you select and renew automatically unless cancelled before the end of the billing period.
Payments are processed by our payment processor (currently Stripe Payments Europe, Ltd. and its affiliates). By providing payment details, you authorise Clode and Stripe to charge your payment method for applicable fees and taxes, and you agree to Stripe’s terms governing the processing of your payment data.
11.4 Late payment
Without prejudice to any other right or remedy we have, overdue amounts accrue interest at 4% per year above the Bank of England base rate from time to time, accruing daily from the due date until actually paid (whether before or after judgment). The parties agree that this is a substantial contractual remedy for the purposes of the Late Payment of Commercial Debts (Interest) Act 1998. We may also suspend the Service for non-payment after written notice.
11.5 Cancellation & refunds
You may cancel at any time. Cancellation takes effect at the end of the current billing period. Fees are generally non-refundable except at our discretion or where required by law. Statutory rights are unaffected.
12 Termination of Service
12.1 By you
You may stop using the Service at any time by uninstalling the Potts Slack app from your workspace and disconnecting all integrations. This stops future data collection from those sources. You may also contact support@meetpotts.com to request deletion.
12.2 By us
Clode may suspend or terminate your access to the Service at any time, with or without notice, if we believe that: (a) you have violated these Terms; (b) you pose a security, legal, or business risk to the Service or other users; or (c) we decide to discontinue the Service. We may also limit or disable specific integrations, features, or workspaces where reasonably necessary for security, legal compliance, or risk mitigation.
12.3 Effects of termination
Upon termination, your right to access or use the Service immediately ceases. We will, on written request made within 30 days of termination, make Customer Data available for export in a commonly used format. After that period, we may delete Customer Data in accordance with our retention practices. Provisions that by their nature should survive termination (such as indemnification, disclaimers, limitation of liability, and governing law) will survive.
13 Disclaimers of Warranties
The Service (including all content, functions, and AI features) is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Clode excludes all conditions, warranties, representations, or other terms (whether express or implied) which may apply to the Service, including any implied terms of satisfactory quality, fitness for a particular purpose, reasonable care and skill, conformity with description, title, or non-infringement.
Clode makes no warranty regarding the accuracy, quality, or reliability of any AI-generated content, reports, or recommendations. We do not warrant that the Service will be uninterrupted, error-free, or that using the AI will achieve any specific result. We are not responsible for the availability or proper functioning of Slack or any other third-party services the Service relies on.
Nothing in this section excludes or limits liability that cannot lawfully be excluded under the Unfair Contract Terms Act 1977, the Misrepresentation Act 1967, the Consumer Rights Act 2015 (where it applies), or any other applicable mandatory law. Where the Consumer Rights Act 2015 applies to you as a consumer, your statutory rights are unaffected by these Terms.
14 Limitation of Liability
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under English law, including liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession); (d) any matter for which it would be unlawful to limit or exclude liability under the Unfair Contract Terms Act 1977; or (e) where the Consumer Rights Act 2015 applies, any liability that cannot be excluded under that Act.
Subject to the above, to the maximum extent permitted by law, neither party is liable to the other (whether in contract, tort including negligence, breach of statutory duty, or otherwise) for any: loss of profits, revenue, anticipated savings, goodwill, business, business opportunity, contracts, or data; or any indirect, special, consequential, or punitive loss, however arising.
Subject to the above, each party’s total aggregate liability arising out of or in connection with these Terms (whether in contract, tort including negligence, breach of statutory duty, or otherwise) is capped at the greater of: (i) the fees paid or payable by you to Clode for the Service in the 12 months immediately preceding the event giving rise to the claim; or (ii) US$100.
Without limiting the above, we are specifically not liable for:
- actions taken by the AI on connected platforms;
- business decisions made based on AI recommendations;
- any consequences of approved or pre-authorised actions.
15 Indemnification
You will indemnify, defend, and hold harmless Clode and its affiliates from any third-party claims, liabilities, damages, losses, and reasonable costs (including legal fees) arising out of or relating to:
- your use of the Service;
- actions executed by Potts on your behalf after receiving approval or through your configured pre-authorisation settings;
- your configuration of shared integrations, permissions, automations, or approval policies;
- your violation of these Terms or any applicable law;
- your violation of any third-party platform’s terms of service;
- your violation of export control or sanctions laws;
- content created or actions taken using the Service.
We will give you prompt notice, control of the defence, and reasonable cooperation.
16 Modifications to the Service and Terms
Service changes. We may modify, update, or discontinue the Service (or any part of it) at any time, with or without notice.
Terms changes. We may revise these Terms from time to time. If we make material changes, we will notify you through reasonable means (such as via Slack message to workspace administrators or email). By continuing to use the Service after updated Terms are posted, you accept and agree to the changes.
17 Governing Law, Jurisdiction & Dispute Resolution
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, are governed by and construed in accordance with the laws of England and Wales.
Each party irrevocably agrees that the courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, except that Clode may bring proceedings to protect its intellectual property rights or confidential information in any court of competent jurisdiction. Nothing in this section prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.
Before commencing court proceedings, the parties will attempt in good faith to resolve any dispute through written notice (sent to the other party’s notice address) followed by at least 30 days of informal discussion between senior representatives. This requirement does not apply to applications for urgent injunctive or equitable relief.
Users accessing the Service outside the United Kingdom are responsible for compliance with local laws. Nothing in these Terms limits non-waivable consumer rights under applicable law.
18 Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any Order, constitute the entire agreement between you and Clode regarding the Service and supersede all prior agreements, representations, and understandings. Each party acknowledges it has not relied on any statement, representation, or warranty not expressly set out in these Terms (other than a fraudulent one).
- Third-party rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their provisions.
- Waiver. No failure or delay by either party in exercising any right or remedy is a waiver of that or any other right or remedy. A single or partial exercise does not prevent further exercise.
- Severability. If any provision is held invalid, illegal, or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or deemed deleted, and the remaining provisions continue in full force.
- Assignment. You may not assign, novate, or otherwise transfer any of your rights or obligations under these Terms without our prior written consent. Clode may freely assign or novate these Terms (including in connection with a corporate transaction).
- No partnership. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between the parties.
- Notices. Notices to Clode must be in writing and sent to legal@meetpotts.com (with a copy by post to the registered office). Notices to you may be sent to the email associated with your account or via in-product messaging, and are deemed received on the day of transmission.
- Force majeure. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control (including acts of God, war, terrorism, pandemic, industrial action, failure of telecommunications or internet, or acts of government).
